These Terms of Service (the “Terms”) form a binding agreement between you and Pixel38 (“Pixel38”, “we”, “us”) governing access to and use of Omnizone, including websites, workspace subdomains, applications, APIs, and related services (the “Services”).
By creating an compte, accepting an invitation, clicking to agree, or otherwise using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
Privacy practices are described in our Privacy Policy, which is incorporated by reference.
1. Agreement and eligibility
- You must be at least 18 years old (or the age of majority where you live) and able to form a binding contrat.
- The Services are intended for business and professional use, not consumer entertainment use.
- You may not use the Services if you are barred under applicable sanctions or export laws, or if we have previously suspended your access.
2. The Services
Omnizone provides multi-tenant business workspace software, which may include finance and accounting tools, receivables and payables, HR and payroll features, operational work management, reporting, document generation, settings/administration, optional AI assistance, and related capabilities as enabled for your plan.
Features vary by subscription plan, role permissions, and workspace configuration. We may offer trials, complimentary access, beta features, or grandfathered entitlements at our discretion.
Not professional advice. Omnizone is software. It does not provide legal, tax, accounting, payroll, or compliance advice. You remain responsible for validating outputs, filings, and decisions with qualified professionals and for complying with laws that apply to your business.
3. Comptes and workspaces
- Provide accurate registration information and keep it updated.
- Keep credentials confidential and enable available security features (including 2FA).
- You are responsible for activity under your compte and for users you invite.
- Workspace administrators control membership, roles, permissions, branding, and data retenue de garantie inside the tenant.
- Seat limits and module access follow your plan. Exceeding seats or restricted plans may block certain actions until remedied.
- You must not share comptes in a way that circumvents seating, security, or audit controls.
4. Client Content and data ownership
- Your ownership. As between you and Pixel38, your organization retains all rights to Customer Content you submit to the Services.
- License to operate. You grant Pixel38 a worldwide, non-exclusive license to host, copy, transmit, display, back up, and otherwise process Customer Content solely to provide, secure, troubleshoot, and improve the Services, and as otherwise permitted in these Terms or the Privacy Policy.
- Responsibility. You are solely responsible for the accuracy, legality, and appropriateness of Customer Content, including personal data of employees, customers, and vendors, and for obtaining any notices or consents required for your use of Omnizone.
- Exports & deletion. Administrators may export or delete workspace data using available product tools, subject to residual backup and legal retenue de garantie.
5. Acceptable use
You agree not to:
- Violate law, regulation, or third-party rights
- Upload malware, or attempt to probe, scan, or breach security or tenant isolation
- Access another client’s workspace or data without authorization
- Interfere with or disrupt the Services, or impose unreasonable load beyond normal use
- Reverse engineer, decompile, or circumvent technical or plan limitations except where law allows
- Resell, sublicense, or provide the Services to third parties as a competing standalone offering
- Use the Services to send unlawful spam or deceptive communications
- Misrepresent your identity, organization, or authority
We may investigate suspected violations and suspend access as described below.
6. Trials, plans, and billing
- Plans. Paid features are offered under published plans (for example Starter, Growth, Business) with seat and module limits described in-product or on our Pricing page. Plan details may change prospectively.
- Trials & complimentary access. Self-serve registrations may receive a time-limited trial. Student/startup or other complimentary access may require application and approval. When a trial or complimentary period ends, access may become past due and then restricted unless you convert to a paid plan or we extend access.
- Upgrades & downgrades. Workspace admins may request plan changes. Some upgrades require operator confirmation and recorded paiement before new modules unlock. Downgrades may take effect subject to seat fit and product rules.
- Factures & paiement. Unless we announce otherwise, subscription factures may be settled by virement bancaire or other methods stated on the facture or order. You agree to pay amounts due under the agreed paiement instructions and deadlines.
- Taxes. Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for taxes arising from your purchase, excluding taxes on our résultat net.
- Cancellation. You may cancel using in-product billing controls or by contacting us if those controls are unavailable. Access typically continues until the end of the then-current trial, complimentary, or paid period, after which the workspace may be restricted. Fees already due remain à payer.
- Grandfathering. Certain existing workspaces may receive complimentary entitlements at our discretion; those programs can be modified with notice for future periods.
Pricing terms and fair use
- Pricing basis: prices are offered per workspace / company entity. Each additional company or entity is a separate workspace with its own subscription package.
- Free startup and student offer: limited to the Starter package, 3 users and 6 months.
- Contrat terms: prices are subject to yearly price reviews; annual plans are non-refundable except where applicable law or a signed agreement requires otherwise; data migration is paid upfront before work starts.
- Usage limits: fair-use limits apply per package (storage, facture volume). Workspaces that consistently exceed them will be asked to move to a higher package or add the relevant add-on.
- Invoicing: factures are issued at month end per workspace and emailed to the billing contact for processing.
- Prices are in US dollars and exclude TVA and other applicable taxes. Local-devise invoicing (e.g. SAR, AED) may be available at the prevailing taux de change. Omnizone reserves the right to update this liste de prix; existing subscriptions keep their price until their next renewal.
Annual subscriptions are paid upfront. Add-ons follow the subscription billing cycle unless the order states otherwise. Renewal and paiement arrangements follow your confirmed order; creating an compte alone does not authorize an unspecified mode de paiement. Any mandatory cancellation or remboursement rights under applicable law remain unaffected. A separately signed order controls conflicting commercial terms.
Published seat, paie, storage, and other package limits apply. We will communicate any additional usage restriction before relying on it for a package change. We may restrict abusive traffic or activity that threatens service security or availability. Cancellation does not itself delete workspace data; see our retenue de garantie policy and export needed records before closure.
7. Affiliates
If you participate in the Omnizone affiliate program, additional program rules shown in-product or on the affiliates page apply. Attribution typically uses a first-touch referral cookie and/or code. Commissions are calculated on collected subscription amounts after any hold period and thresholds we publish, and are paid according to our payout process. We may withhold or reverse amounts for refunds, fraud, or policy violations.
8. Intellectual property
- Pixel38 and its licensors own Omnizone, including software, UI, documentation, logos, and trademarks. These Terms do not transfer ownership to you.
- We grant you a limited, non-exclusive, non-transferable right to access and use the Services during your subscription solely for your internal business purposes, subject to these Terms and your plan.
- Feedback you provide may be used by us without obligation or compensation.
- You must not remove proprietary notices or use Omnizone / Pixel38 marks except as allowed in writing or via approved affiliate materials.
9. Confidentiality
Each party may receive non-public information from the other (“Confidential Information”). The receiving party will protect it with reasonable care and use it only to perform under these Terms, except for information that is public, independently developed, or rightfully received from a third party without duty. Client Content is your Confidential Information. Our non-public product, commercial, and security information is protected on the same basis; these public Terms are not confidential.
10. Third-party services
The Services rely on infrastructure and livraison providers (for example cloud hosting and email). We may also surface links to third-party sites. Third-party services are not under our control; their terms and privacy policies apply to your use of them. We are not responsible for third-party acts or omissions beyond our reasonable fournisseur management.
APIs, integrations, and AI-assisted actions
You are responsible for protecting API keys, choosing appropriate permissions, and authorizing third-party integrations. Revoke access when it is no longer needed. API and AI use remains subject to the subscribed plan, documented limits, and acceptable-use requirements. A custom MCP bridge or other third-party connector is operated under its own terms unless we expressly agree otherwise.
AI-generated content is not professional advice or a guarantee of accuracy. Review calculations, extracted records, recommendations, and proposed actions before relying on them. You remain responsible for business decisions, statutory filings, employment decisions, and automations configured in your workspace. Do not use AI to bypass access controls or make unlawful automated decisions.
11. Availability, changes, and beta features
- We aim for reliable availability but do not guarantee uninterrupted or error-free operation.
- We may modify, suspend, or discontinue features, including for maintenance, security, legal, or product reasons. We will use reasonable efforts to avoid material disruption where practical.
- Beta or experimental features are provided as-is, may be unstable, and may be withdrawn at any time.
- Scheduled jobs (reminders, backups, indexing, and similar) run on a best-effort basis and may be delayed.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, OR THAT DATA WILL NEVER BE LOST. YOU ARE RESPONSIBLE FOR MAINTAINING APPROPRIATE BACKUPS OF CLIENT CONTENT USING AVAILABLE EXPORT TOOLS AND YOUR OWN CONTROLS.
13. Limitation of passif
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIXEL38 AND ITS DIRECTORS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO PIXEL38 FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
Nothing in these Terms excludes or limits passif that cannot be limited under applicable law (including passif for fraud or willful misconduct where such limitation is prohibited).
14. Indemnification
You will defend, indemnify, and hold harmless Pixel38 and its personnel from and against claims, damages, losses, and expenses (including reasonable legal fees) arising out of: (a) Customer Content; (b) your use of the Services in breach of these Terms or law; or (c) disputes among your workspace users or with your customers, employees, or vendors.
15. Suspension and termination
- We may suspend or restrict access immediately if needed to protect the Services, other clients, or if you materially breach these Terms, fail to pay amounts due, or your plan becomes restricted.
- You may stop using the Services and cancel per the billing section.
- Upon termination, your license ends. We may delete Client Content after a commercially reasonable period, subject to backups and legal holds. Sections that by nature should survive (including IP, confidentiality, disclaimers, passif limits, indemnity, and governing law) will survive.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Lebanon, without regard to conflict-of-law rules. Exclusive jurisdiction and venue for disputes lie in the competent courts of Beirut, Lebanon, unless mandatory consumer or local law requires otherwise for a particular claim. Before filing a claim, you agree to attempt good-faith resolution by contacting info@pixel38.com.
17. General
- Entire agreement. These Terms, the Privacy Policy, and any order/plan details presented in-product form the entire agreement regarding the Services and supersede prior discussions on that subject.
- Changes. We may update these Terms by comptabilisation a revised version with a new “Last updated” date. Continued use after changes take effect constitutes acceptance, except where law requires express consent.
- Assignment. You may not assign these Terms without our consent. We may assign them in connection with a corporate reorganization or sale of actifs.
- Severability. If a provision is unenforceable, the remainder stays in effect.
- No waiver. Failure to enforce a provision is not a waiver.
